VP, Corporate Counsel, Contract and Licensing

THE ROLE YOU WILL PLAY:

  • Independently negotiate, draft and interpret commercial contracts and licenses, supporting various corporate functions, with a focus on commercial and business transactions. Agreements will include a mix of consulting, OEM, supply, services, software, request for proposal, sales agreements, collaborations, IP licenses, terms and conditions, etc.
  • Manage a small team of professionals responsible for other related legal documents and contracts
  • Advise internal business and commercial teams concerning complex business and contract issues such as contract interpretation, intellectual property, dispute resolution, and other legal risks.
  • Manage legal department’s work in other related areas such as trademarks, material transfer, confidentiality, consulting, data privacy, regulatory and compliance.
  • Work closely with the IP group to ensure accurate protection of IP assets.
  • Provide advice regarding potential M&A transactions.

BACKGROUND PROFILE:

  • JD with 15+ years of professional experience, with particular experience in the biotechnology industry.
  • Strong legal acumen and business sense with strong influencing skills.
  • Member in good standing with the California state bar.
  • Extremely detail oriented with strong negotiation and communication skills.
