Senior Corporate Paralegal

Location: San Francisco, CA (Hybrid – 3 days onsite)
THE ROLE YOU WILL PLAY
- Support attorneys with private equity, M&A, and public company transactions
- Manage corporate maintenance for private and public entities
- Coordinate deal closings and prepare related documentation
- Draft and file entity formation, maintenance, and dissolution documents
- Prepare and file corporate and securities filings, including Blue Sky
- Conduct due diligence and organize corporate records
- Compile legal opinions and supporting documentation
- Maintain cap tables, stock certificates, and option records
- Train and mentor junior paralegals and case assistants

BACKGROUND PROFILE
- Bachelor’s degree required
- ???????Minimum 5 years of experience in transactional corporate law
- ???????Strong background in private equity, M&A, or public company work preferred
- ???????Experience with Carta, Shareworks, or similar equity tracking platforms a plus
- ???????Demonstrated ability to handle sensitive and confidential information with discretion
- ???????Willingness to work overtime as needed
