Title: Senior Corporate Paralegal

THE ROLE YOU WILL PLAY

• Support attorneys with private equity, M&A, and public company transactions

• Manage corporate maintenance for private and public entities

• Coordinate deal closings and prepare related documentation

• Draft and file entity formation, maintenance, and dissolution documents

• Prepare and file corporate and securities filings, including Blue Sky

• Conduct due diligence and organize corporate records

• Compile legal opinions and supporting documentation

• Maintain cap tables, stock certificates, and option records

• Train and mentor junior paralegals and case assistants

BACKGROUND PROFILE

• Bachelor’s degree required

• Minimum 5 years of experience in transactional corporate law

• Strong background in private equity, M&A, or public company work preferred

• Experience with Carta, Shareworks, or similar equity tracking platforms a plus

• Demonstrated ability to handle sensitive and confidential information with discretion

• Willingness to work overtime as needed
