Senior Corporate Paralegal

This role offers the opportunity to work alongside top-tier corporate attorneys on sophisticated private equity, capital markets, and M&A matters, with significant autonomy and minimal day-to-day oversight once ramped up. The position includes the chance to mentor and train junior paralegals and case assistants, contributing to the team's growth and development.


THE ROLE YOU WILL PLAY:

  • Assists in the formation, maintenance, and dissolution of corporate entities and prepares related organizational documents
  • Coordinates closings and prepares related documents
  • Prepares legal opinions and assembles opinion back-up
  • Drafts and files corporate and securities filings
  • Organizes corporate records and conducts due diligence reviews
  • Prepares stock certificates and maintains capitalization tables and option records
  • Research Blue Sky issues and prepares required filings
  • Provides training to case assistants and junior paralegals
  • Performs other tasks as assigned or required


BACKGROUND PROFILE:

  • Bachelor's degree required
  • 5+ years of transactional experience in Private Equity, Capital Markets, and M&A matters is desired
  • Available to work overtime, as required
  • Excellent oral and written communication skills
  • Strong attention to detail with the ability to manage multiple priorities and track extensive details
  • Ability to establish and maintain good working relationships with personnel and to handle confidential information sensitively and discreetly
  • Proficiency in the Microsoft Office suite; advanced knowledge of Excel preferred
  • Familiarity with Carta, Shareworks, or a similar web-based equity tracking system preferred
  • Previous law firm experience preferred
