Private Funds Paralegal

THE ROLE YOU WILL PLAY:
- Support all facets of emerging company and venture fund work, including the preparation and maintenance of organizational documents
- Prepare partnership and limited liability company agreements
- Prepare side letters, transfer agreements, admission agreements, and other amendments
- Conduct investor suitability due diligence
- Research federal and state securities regulations in connection with fund formations
- Prepare and file requisite notices
- Conduct due diligence review of documents and assist with the preparation of opinions and supporting materials in connection with fund formation
- Handle SEC compliance reporting on behalf of venture fund clients with respect to their public company stock portfolios
- Complete time sheets, e-timelogs, and other administrative duties in a timely manner
BACKGROUND PROFILE:
- Bachelor's degree required
- 1-3 years of fund formation experience
- Willingness and availability to work overtime as required
- Ability to bill a minimum of 1,600 hours annually
- Requires in-office presence four days per week at the firm's Bay Area office
- Demonstrated proficiency in the Microsoft Office suite, iManage, and other standard firm applications (training provided during onboarding)
- Paralegal certificate preferred
- Ability to work independently and as part of a team in a fast-paced environment with multiple supervisors, meet deadlines, and maintain flexibility with work assignments and schedules
- Strong organizational and prioritization skills, including the ability to delegate tasks to service departments when necessary
- Excellent written communication and proofreading skills with close attention to detail
- Demonstrated initiative, diplomacy, tact, and reliability, with the ability to work well under pressure and collaboratively with others, including clients
