Fund Formation Paralegal

Location: New York, Washington D.C., Boston 

THE ROLE YOU WILL PLAY

• Support attorneys and senior paralegals on all aspects of emerging company and venture fund work

• Prepare and maintain organizational documents, partnership agreements, LLC agreements, side letters, transfer agreements, admission agreements, and other amendments

• Conduct investor suitability due diligence

• Research federal and state securities regulations related to fund formations

• Prepare and file requisite notices and SEC compliance reports for venture fund clients

• Conduct due diligence reviews and assist with preparation of opinions and supporting documentation

• Manage fund formation workflows, transactional closings, and related documentation

• Submit time sheets, e-timelogs, and complete other administrative duties in a timely manner

• Provide support across multiple offices and practice groups as needed

BACKGROUND PROFILE

• Bachelor’s degree required

• Minimum 1 year of experience as a Fund Formation Paralegal

• Strong organizational, written, and communication skills with excellent attention to detail

• Ability to manage multiple priorities, work independently, and support multiple supervisors

• Exposure to equity platforms such as Carta or Shareworks a plus

• Ability to maintain confidentiality and work effectively with attorneys, staff, and clients

• Willingness to work overtime as needed
