THE ROLE YOU WILL PLAY

  • Provide advice on the formation, structuring and marketing/distribution of open-end and closed-end funds and special purpose vehicles.
  • Partner with internal stakeholders to help develop processes and provide advice relating to all aspects of private funds.
  • Oversee the corporate governance of private funds, including managing Board meetings.
  • Prepare, review and negotiate fund offering documents and side letters.
  • Analyze issues and provide recommendations under a variety of regulations including SEC, FINRA, and ERISA rules.
  • Manage external U.S. and non-U.S. counsel on a cost-effective basis.

BACKGROUND PROFILE

  • J.D. from a top law school and licensed to practice law in the U.S.
  • 3-8 years of experience in private fund formation in a national law firm or financial institution.
  • Knowledge of laws and regulations under the Investment Company Act of 1940, Investment Advisers Act of 1940, and other regulatory regimes.
  • Excellent written and verbal communication skills with a high degree of attention to detail with the ability to multitask and prioritize.
