Title: Corporate Paralegal

Location: New York (Hybrid)

Role Responsibilities:

  • Assist with the formation, maintenance, and dissolution of corporate entities and draft related documents

  • Coordinate deal closings and prepare supporting documentation

  • Prepare legal opinions

  • Draft and file corporate and securities documents, including Blue Sky 

  • Organize corporate records and conduct due diligence reviews

  • Maintain cap tables, prepare stock certificates, and manage option records

Background Profile:

  • Bachelor’s degree required

  • 3+ years of corporate paralegal experience, ideally in Private Equity, Capital Markets, or M&A

  • Strong proficiency in Microsoft Office, especially Excel

  • Familiarity with equity tracking systems (e.g., Carta, Shareworks) preferred

  • Previous law firm experience strongly preferred
