Corporate Paralegal

Status: Full-Time, Non-Exempt
Location: Hybrid – San Diego, CA
THE ROLE YOU WILL PLAY
- Support attorneys on corporate governance and complex transactions for private and public companies
- Form, maintain, and dissolve corporate entities; draft organizational documents
- Coordinate closings and prepare related documentation
- Draft and file corporate and securities filings
- Prepare legal opinions and assemble supporting documentation
- Conduct due diligence and organize corporate records
- Maintain cap tables, issue stock certificates, and track equity grants
- Research Blue Sky issues and file state securities forms
- Assist with lateral clearance processes and issue ethical walls
- Train case assistants and junior paralegals as needed

BACKGROUND PROFILE
- Bachelor’s degree required
- 3+ years of transactional experience (private equity, capital markets, or M&A preferred)
- Proficient in Microsoft Office; advanced Excel skills a plus
- Familiarity with equity tracking systems (e.g., Carta, Shareworks) preferred
- Strong written and verbal communication skills
- Excellent attention to detail and organizational abilities
- Willingness to work overtime as needed
