THE ROLE YOU WILL PLAY
This position is the main support point for the Project Finance practice, assisting with substantial energy infrastructure transactions.
- Assist with corporate entity formation and prepare drafts of corporate documents.
- Corporate records maintenance.
- Coordinate corporate closings, public offerings, acquisitions and mergers, and other corporate transactions.
- Utilize due diligence procedures.
- Review, prepare and file UCC financing, including the continuation and termination statements; UCC search results; filing requirements in various states and expiration dates for UCC-1 filings.
- Prepare stock option agreements and stock certificates.
- Proofread and redline documents.
- Perform online and library research.
- As needed, assist in the preparation of responses to auditor letters.

- Bachelor’s Degree.
- 2-5 years of corporate paralegal experience or supporting a corporate or finance practice.
- Excellent attention to detail and working across multiple projects.
- Microsoft Office experience.
